Terms of Service of 360Converter

Welcome to 360Converter. Please read these Terms of Service ("Terms", "ToS", "Agreement") carefully before using the 360Converter website and file conversion services (the "Service") operated by 360Converter ("us", "we", "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

360Converter provides an online file conversion service that allows users to convert files from one format to another. The Service supports various file types including but not limited to documents, images, audio, and video files.

1. Some features of the Service may require you to create an account. You are responsible for maintaining the confidentiality of your account information, including your password, and for all activity that occurs under your account.
2. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security.
3. We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion.

1. Basic conversion services are available for free, with limitations on file size, conversion types, and frequency of use.
2. Premium services are available on a subscription basis or as one-time purchases, providing additional features such as batch conversions, larger file sizes, priority processing, and ad-free experience.
3. Payment terms for premium services are outlined during the purchase process and may be updated from time to time.

1. By uploading content to our Service, you retain all ownership rights to your content. However, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, and distribute such content for the purpose of providing and improving our Services.
2. You represent and warrant that:
   • You own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use all intellectual property rights in and to any content you provide.
   • Your content does not violate the privacy rights, publicity rights, copyright, contractual rights, intellectual property rights, or any other rights of any person or entity.
3. We reserve the right to remove any content that violates these Terms or is deemed objectionable at our sole discretion.

1. Your privacy is important to us. Our Privacy Policy, which is incorporated into these Terms by reference, explains how we collect, use, and protect your personal information.
2. We implement reasonable security measures to protect your data; however, we cannot guarantee absolute security. Files uploaded to our Service may be temporarily stored on our servers for processing.
3. For free services, files will typically be automatically deleted within 24 hours after conversion. Premium users may have extended storage options as specified in their subscription plan.

You agree not to use the Service:

1. In any way that violates any applicable local, state, national, or international law or regulation.
2. To transmit or upload any material that contains viruses, trojan horses, worms, or any other malicious code or programs designed to adversely affect the operation of any computer software or hardware.
3. To upload, transmit, or distribute content that:
   • Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
   • Infringes on any proprietary rights of any party
   • Contains software viruses or any other computer code designed to interrupt, destroy, or limit the functionality of any computer resource
   • Constitutes unauthorized or unsolicited advertising, promotional materials, "junk mail," "spam," or any other form of solicitation
4. To interfere with or disrupt the Service or servers or networks connected to the Service.
5. For unlawful file sharing or copyright infringement.

1. The Service and its original content (excluding user-provided content), features, and functionality are and will remain the exclusive property of 360Converter and its licensors.
2. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of 360Converter.

1. To the maximum extent permitted by law, 360Converter, its affiliates, and their respective officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
   • Your access to or use of or inability to access or use the Service
   • Any conduct or content of any third party on the Service
   • Any content obtained from the Service
   • Unauthorized access, use, or alteration of your transmissions or content
   • The quality or accuracy of the converted files
   • Any data loss or corruption during the conversion process
2. In no event shall our total liability to you for all claims exceed the amount you paid for premium services during the past 12 months (if any).

1. Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied.
2. We do not warrant that:
   • The Service will meet your specific requirements
   • The Service will be uninterrupted, timely, secure, or error-free
   • The results that may be obtained from the use of the Service will be accurate or reliable
   • The quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations
3. We make no warranties regarding the accuracy of the conversion process or the suitability of converted files for any specific purpose.

You agree to defend, indemnify, and hold harmless 360Converter, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of and access to the Service, including any breach of these Terms.

Our Service may contain links to third-party websites or services that are not owned or controlled by 360Converter. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that 360Converter shall not be responsible or liable for any damage or loss caused or alleged to be caused by or in connection with the use of any such content, goods, or services available on or through any such websites or services.

1. We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
2. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

1. We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
2. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.
3. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

1. Any dispute arising from or relating to the subject matter of this Agreement shall be finally settled by arbitration in Singapore, using the English language in accordance with the Arbitration Rules and Procedures of Singapore International Arbitration Centre (SIAC) then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes.
2. Prior to commencing arbitration, you and 360Converter agree to make a good-faith effort to resolve the dispute through mediation conducted by a mutually agreed-upon mediator.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

These Terms constitute the entire agreement between you and 360Converter regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
